1. General Provisions
Unless otherwise agreed in writing, the submission of an order by the Client implies acceptance of these general conditions of sale. Any stipulation made by the Client concerning purchasing conditions, letters, acknowledgments of receipt, or other documents shall differ only if expressly accepted by this Company in advance. The information contained in catalogs and price lists is for guidance only and may be modified at any time, without prior notice, depending on the evolution of economic conditions, in order to keep the client duly informed of such changes.
2. Orders
All orders may be placed by telephone, through the website, by email, or via WhatsApp. An order is not final until it is accepted by the Client. Any stipulation that derogates from or supplements these general conditions of sale shall be considered accepted by the Client unless there is a written response stating otherwise.
3. Prices
The prices shown on the website include the applicable VAT. Products listed with zero amount or without a price shall not be considered a completed sale until, after placing the order request, we send you a proforma invoice with the applicable prices. All our products are subject to availability. We will inform you as soon as possible whether the requested product is available or not; sometimes supply problems from the manufacturer may force us to delay delivery.
4. Delivery
Except where otherwise agreed, products will be delivered within the agreed timeframes starting from the date of payment or from the Client’s acceptance of the order in the case of deferred payment. The indicated delivery times are for guidance only, and farmaciaveterinaria.es strives to meet them. However, delays shall not entail the cancellation of the order nor any compensation. Any penalty clause for delay introduced by the Client in the order shall be void in application of point 1 of these conditions. Delivery is deemed completed once the product is made available to the Client by the carrier and the recipient signs for receipt. It is the recipient’s responsibility to check the products upon receipt and raise any justified claims. If the products delivered do not conform in type or quantity to those specified in the delivery note, the Client must submit a claim within seven (7) days of delivery. Deliveries will be made with costs borne by the Client unless free-shipping conditions apply.
5. Retention of Title – Risks
Ownership of the delivered products is expressly reserved until full payment of the sale price, interests, expenses, etc. Consequently, payment shall not be deemed completed, under this provision, by bills of exchange, promissory notes, checks, or any other instrument creating an obligation to pay until such instruments have been duly collected. However, risks are transferred to the Client upon delivery of the products. The Client agrees to safeguard and preserve the products and to take out the necessary insurance to cover potential damages or losses. In the event of payment suspension by the Client, the products may be reclaimed. Any advance payments made shall remain with the Company as a penalty clause.
6. Payment Terms
Unless otherwise stipulated, products are payable by bank transfer, credit card, or PayPal, all through secure methods. Payment terms are 15 days; after this period, the order will be canceled. The Client may not withhold any amount due within the agreed terms. The sale, transfer, pledge, or contribution in partnership by the Client of all or part of their business or assets, as well as failure to make payment, authorizes farmaciaveterinaria.es, without prejudice to other rights and remedies, to suspend all deliveries until full payment is completed. Outstanding amounts shall become immediately due.
7. Termination Clause
Total or partial breach by the Client of any of their obligations, failure to make a payment on its due date, delay in payment, and, in particular, protest or pledge of all or part of their business may, at the discretion of farmaciaveterinaria.es, result in the termination of payment terms and, consequently, the immediate enforceability of outstanding amounts, as well as the suspension of all deliveries and termination of all ongoing contracts. Contract termination shall occur automatically and without judicial formalities within seven (7) days from the sending of a payment request to the Client by registered letter with acknowledgment of receipt, stating the intention to invoke this clause.
8. Warranty
farmaciaveterinaria.es guarantees that all items are original. Any defective item must be returned in its original packaging. The costs and risks of transport in such case shall be borne by our company.
9. Possible Product Returns
In compliance with Article 44 of Law 47/2002 of December, amending Law 7/1996 of January 15, on the Regulation of Retail Trade, under the Distance Selling section, the Client has the RIGHT OF WITHDRAWAL, whereby the product received may be returned if it does not meet expectations, provided it is within a maximum period of SEVEN business days (from receipt and according to the official calendar of the place of delivery), in its original packaging, unused, and through the logistics operator that supplied it. The RETURN COSTS and any damages to the purchased product shall be borne by the CLIENT. For personalized items, the right of withdrawal shall not apply, as provided in Article 45 of Law 47/2002 of December, under “exceptions to the right of withdrawal,” subsection B: contracts for the supply of goods made to the consumer’s specifications or clearly personalized, or which by their nature cannot be returned or may deteriorate or expire quickly, are excluded from the right of withdrawal. If there was an error in shipment or the product is defective, the return costs shall be borne by farmaciaveterinaria.es. Replacement of defective products will be carried out as soon as the Client notifies us, at no additional cost.
10. Export Control
The Client acknowledges that any product (*) sold independently or under license complies with current export control regulations of the European Economic Community and Spain. The Client agrees not to export or re-export, directly or indirectly, the product to certain countries or end-users, nor to use it under restrictions of the cited regulations. (Non-exhaustive list of currently denied countries: Cuba, Federal Republic of Yugoslavia – Serbia and Montenegro, Iran, Iraq, Libya, North Korea, and Syria). The Client agrees not to license or sell such product to any end-user who may use it directly or indirectly for unlawful purposes. (*) The term “product” means the product itself, parts thereof, as well as the accompanying documentation delivered with it.
11. Force Majeure
The parties shall not be held liable for any default caused by force majeure. The performance of obligations shall be suspended until the case of force majeure ceases. If the force majeure lasts more than two (2) months, the contract may be terminated at the request of either party, without any compensation.
12. Miscellaneous
These general conditions of sale, as well as the contracts signed, are governed by the applicable law. Any dispute regarding the interpretation or execution of the general conditions of sale and any contract signed with a Client shall fall under the exclusive jurisdiction of the Courts of Madrid.
